This legal document is available exclusively in English to ensure legal accuracy, consistency, and compliance with applicable international laws and regulations. Translated versions are not currently provided, as they may introduce discrepancies or unintended interpretations. These Terms of Service (the "Terms") govern your access to and use of Eniway, an AI Gateway and AI Infrastructure Layer service operated by Eeive ("Eeive", "Company", "we", "our", or "us"). Eniway provides infrastructure for routing, securing, observing, and managing artificial intelligence requests between customer applications and third-party AI model providers.
By creating an account, accessing the dashboard, using the API, generating an Eniway API key, connecting a provider key, sending requests through the gateway, or otherwise using Eniway, you agree to be bound by these Terms. If you use Eniway on behalf of a company, organization, startup, team, or other legal entity, you represent that you have authority to bind that entity to these Terms, and the words "you" and "Customer" refer to that entity.
These Terms are written for a technical infrastructure product. They are intended to define the relationship between Eeive and customers using Eniway as an AI gateway, developer platform, routing layer, observability layer, API key management layer, and infrastructure service. You should read them carefully before using Eniway in production environments.
Important: These Terms are not a substitute for legal advice. Before a commercial launch, Eeive should have these Terms reviewed by a qualified attorney in the jurisdiction where the business is registered and where customers are targeted.

1. Definitions
"Eniway" means the AI Gateway and AI Infrastructure Layer service offered by Eeive, including the web dashboard, APIs, authentication systems, project management tools, routing features, analytics, logging, caching, billing-related functionality, documentation, SDKs, and any related services provided by Eeive.
"Service" means Eniway and any related software, websites, APIs, infrastructure, hosted systems, documentation, dashboards, and support channels provided by Eeive.
"Customer" means the individual, company, organization, team, or legal entity that creates an account or uses the Service.
"User" means any person who accesses the Service under a Customer account, including owners, administrators, team members, developers, operators, contractors, or invited users.
"Provider" or "Third-Party AI Provider" means a third-party model provider, API provider, cloud provider, inference provider, or AI service provider that may receive requests routed through Eniway. Examples may include OpenAI, Anthropic, Google, Mistral, xAI, Meta-hosted model providers, self-hosted model endpoints, or other providers supported by Eniway.
"Provider Key" means a customer-supplied API key, token, credential, secret, or access credential for a Third-Party AI Provider that Customer stores or connects in Eniway so Eniway can route requests to that provider on Customer's behalf.
"Eniway API Key" means an API key, token, credential, or secret generated by Eniway that allows Customer applications to access the Eniway gateway.
"Customer Content" means prompts, inputs, messages, files, metadata, instructions, tool calls, application data, or other materials that Customer submits to or routes through the Service.
"AI Output" means responses, completions, embeddings, model outputs, generated text, generated data, or other outputs returned by Third-Party AI Providers or model endpoints through Eniway.
"Gateway Metadata" means technical and operational metadata about requests processed through Eniway, such as provider name, model name, project ID, tenant ID, latency, token counts, estimated cost, response status, cache status, error codes, timestamps, request IDs, usage metrics, and other data needed to operate, secure, debug, analyze, bill, and improve the Service.
2. Acceptance of Terms
You accept these Terms by using Eniway. This includes accessing the website, creating an account, logging in, creating a project, generating an API key, connecting a provider key, sending gateway requests, using the dashboard, using documentation, subscribing to a paid plan, or otherwise interacting with the Service.
If you do not agree to these Terms, you must not use Eniway. If you are using the Service on behalf of an organization and you do not have authority to accept these Terms, you must not use the Service for that organization.
These Terms incorporate by reference any additional written order forms, plan descriptions, pricing pages, product documentation, support rules, security notices, privacy notices, or policies that Eeive makes available and expressly states are part of these Terms. If there is a conflict between these Terms and a written agreement signed by Eeive, the signed agreement controls only for the conflicting subject matter.
3. Eligibility and Authority
You must be at least 18 years old, or the age of legal majority in your jurisdiction, whichever is higher, to use Eniway for commercial purposes. If you are under the legal age required to enter into contracts, you may not use the Service unless a parent, guardian, or authorized organization accepts responsibility for your use.
You represent and warrant that all information you provide to Eeive is accurate, current, and complete; that you are not prohibited from using the Service under applicable law; that you are not located in or ordinarily resident in a country or region subject to sanctions that would prohibit Eeive from providing the Service; and that your use of the Service will comply with applicable laws, these Terms, and the policies of any Third-Party AI Provider you connect through Eniway.
4. Description of the Service
Eniway is an AI Gateway and AI Infrastructure Layer service. It is designed to help developers and organizations route AI requests through a unified layer rather than integrating separately with every AI provider. Depending on the plan and features enabled, Eniway may provide provider key management, project isolation, gateway endpoints, routing, analytics, request metadata, cost visibility, caching, model selection, failure handling, rate limiting, security controls, and operational dashboards.
Eniway does not itself create or operate all AI models that may be reachable through the Service. Many requests are processed by Third-Party AI Providers selected, configured, or connected by the Customer. Eniway acts as an infrastructure layer and control plane between Customer applications and those providers.
Features, plans, quotas, supported providers, model availability, SDKs, documentation, dashboard pages, analytics, billing metrics, and service behavior may change over time. Eeive may add, modify, limit, rename, suspend, or discontinue features when necessary for security, legal compliance, product development, operational stability, provider changes, abuse prevention, or business reasons.
5. Accounts and Authentication
To use Eniway, you may need to create an account. You are responsible for maintaining the confidentiality of your login credentials, passwords, session tokens, API keys, provider keys, recovery codes, and any other authentication materials associated with your account.
You are responsible for all activity that occurs under your account, whether or not you authorized it, unless the activity is caused directly by Eeive's breach of these Terms. You must promptly notify Eeive if you believe your account, API key, provider key, password, or other credential has been compromised.
Eeive may require email verification, password resets, re-authentication, device checks, anti-abuse checks, or additional verification steps before allowing access to sensitive features. Eeive may restrict or suspend access if it reasonably believes an account is compromised, fraudulent, abusive, inactive, violating these Terms, or creating risk to the Service, other customers, or third parties.
If team features are available, account owners and administrators are responsible for managing user access, permissions, projects, keys, billing settings, and other account configuration. Eeive is not responsible for unauthorized actions performed by users that a Customer invited, enabled, or failed to remove.
6. API Keys and Provider Keys
Eniway may allow you to generate Eniway API Keys and connect Provider Keys. You are responsible for keeping all keys secret and secure. You must not publish keys in public repositories, client-side code, browser-exposed code, logs, screenshots, support messages, documentation, or any other location where unauthorized parties may access them.
Provider Keys are supplied by Customer under a bring-your-own-key model. You are responsible for maintaining valid provider accounts, provider billing, provider quotas, provider permissions, provider usage policies, and provider legal requirements. Eeive is not responsible if a Third-Party AI Provider rejects a request, changes pricing, changes model behavior, suspends your provider account, rate-limits your provider key, deletes a model, alters a policy, returns inaccurate output, suffers downtime, or changes its API.
Eeive will use commercially reasonable technical measures designed to protect Provider Keys and Eniway API Keys. For example, keys may be encrypted before storage, displayed only in truncated form where practical, and excluded from intentional logging. However, no system is perfectly secure, and you remain responsible for rotating keys, revoking exposed keys, using least-privilege provider scopes where available, monitoring usage, and securing your own systems.
Eeive may revoke, rotate, disable, rate-limit, or block Eniway API Keys when necessary to protect the Service, prevent abuse, comply with law, respond to suspected compromise, or enforce these Terms. Customer may need to update applications if keys are revoked or rotated.
7. Customer Responsibilities
You are responsible for your applications, users, prompts, inputs, provider configurations, API usage, security practices, compliance obligations, and decisions made based on AI Outputs. You are responsible for testing Eniway in a non-critical environment before using it in production and for implementing appropriate fallback, monitoring, alerting, validation, human review, rate limiting, and incident response procedures.
You must ensure that your use of Eniway complies with applicable laws and regulations, including laws related to privacy, data protection, intellectual property, consumer protection, export controls, sanctions, cybersecurity, AI systems, employment, finance, healthcare, education, and regulated industries if they apply to your use case.
You must not rely on Eniway or AI Outputs as the sole basis for decisions that may have legal, financial, medical, safety, employment, educational, immigration, housing, insurance, law enforcement, or similarly significant effects unless you have implemented appropriate human review and compliance controls.
You are responsible for obtaining all rights, permissions, consents, notices, and legal bases required to submit Customer Content to the Service and to Third-Party AI Providers. You must not submit personal data, sensitive data, regulated data, confidential data, or third-party content unless you have the legal right to do so and have configured Eniway and provider settings appropriately.
8. Acceptable Use Policy
You may not use Eniway in any way that is illegal, harmful, abusive, fraudulent, deceptive, infringing, exploitative, unsafe, or disruptive. You may not encourage, enable, assist, or allow others to violate this Acceptable Use Policy.
You must not use Eniway to:
- violate any applicable law, regulation, court order, sanctions program, or provider policy;
- attack, scan, overload, disrupt, degrade, or compromise Eeive infrastructure or third-party systems;
- perform DDoS attacks, credential stuffing, password spraying, brute force attacks, scraping abuse, spam, phishing, or fraud;
- attempt to bypass authentication, authorization, billing controls, quotas, rate limits, usage limits, provider limits, or security controls;
- reverse engineer, decompile, disassemble, copy, extract, or attempt to derive source code, system design, internal algorithms, or non-public APIs except where law expressly allows it;
- upload, transmit, generate, host, distribute, or facilitate malware, ransomware, spyware, credential stealers, botnets, exploit kits, destructive code, or unauthorized surveillance tools;
- use the Service for spam, unsolicited messaging, mass account creation, fake engagement, fake reviews, or deceptive automation;
- use the Service to infringe, misappropriate, or violate intellectual property, privacy, publicity, contractual, or other rights of any person or organization;
- use the Service to generate or distribute content involving child sexual exploitation, non-consensual sexual imagery, human trafficking, terrorist activity, violent extremism, or instructions for serious physical harm;
- misrepresent your identity, affiliation, product, organization, or relationship with Eeive;
- sell, rent, sublicense, resell, or provide access to Eniway as a competing gateway service unless Eeive has agreed in writing;
- use Eniway to build, train, benchmark, or improve a directly competing product through systematic extraction of Service behavior or non-public functionality;
- interfere with other customers' use of Eniway or create unreasonable load on the Service;
- remove, obscure, or alter proprietary notices, security notices, or usage restrictions;
- use the Service in a way that could expose Eeive, other customers, providers, or the public to legal, operational, security, reputational, or safety risk.
Eeive may investigate suspected violations. We may suspend or terminate accounts, block requests, revoke keys, disable projects, remove access, preserve evidence, notify providers, cooperate with law enforcement, or take other appropriate action where we believe the Service is being misused.
9. AI Usage Policy
Because Eniway routes AI requests, customers must use the Service responsibly. You are responsible for your prompts, AI workflows, automated agents, customer-facing AI features, tool integrations, downstream actions, and decisions based on AI Outputs.
You must not use Eniway or connected providers to:
- generate, facilitate, or automate harmful, illegal, or abusive content or conduct;
- create phishing messages, social engineering campaigns, credential theft, fraud scripts, or deceptive impersonation;
- generate malware, exploit instructions, evasion techniques, vulnerability exploitation workflows, or unauthorized cyber operations;
- make automated high-impact decisions about people without appropriate notice, consent, legal basis, human review, and compliance safeguards;
- generate medical, legal, financial, insurance, employment, housing, immigration, or safety-critical advice without qualified professional review where required;
- create or distribute deceptive deepfakes, non-consensual intimate content, impersonation, or misleading synthetic media;
- violate provider-specific AI safety policies or content policies;
- evade model safety systems, abuse filters, moderation controls, or provider restrictions;
- generate content that unlawfully discriminates against protected classes or facilitates harassment, threats, or violence;
- submit data to providers in a way that violates privacy laws, confidentiality obligations, or data processing restrictions.
AI Outputs may be inaccurate, incomplete, offensive, biased, unsafe, outdated, or unsuitable for your purpose. You must evaluate AI Outputs independently. Eeive does not verify, endorse, guarantee, or assume responsibility for AI Outputs produced by Third-Party AI Providers or model endpoints.
10. Rate Limits, Quotas, and Fair Use
Eniway may impose limits on requests, tokens, projects, provider connections, storage, logs, caching, team members, analytics retention, concurrency, throughput, and other usage. Limits may depend on your plan, billing status, technical capacity, abuse risk, provider constraints, and system availability.
You must not attempt to bypass limits by creating multiple accounts, rotating identities, distributing abusive traffic, hiding usage patterns, manipulating billing metadata, or using undocumented endpoints. Eeive may throttle, queue, reject, block, or rate-limit requests to maintain service stability and protect other customers.
Unlimited or high-volume features, if offered, are subject to fair use. Usage that materially exceeds normal patterns, creates excessive load, harms other customers, threatens infrastructure stability, or appears abusive may be restricted even if a plan description uses the word "unlimited."
11. Billing, Subscriptions, Taxes, and Crypto Checkout
Paid plans are billed through BlockBee hosted crypto checkout or another crypto payment processor designated by Eeive. By purchasing a paid plan, you authorize the applicable payment processor to process subscription fees, usage fees, taxes, overages, upgrades, renewals, and other amounts associated with your account.
Plan names, features, quotas, limits, pricing, currencies, billing intervals, and included usage may be displayed on the Eniway website, dashboard, checkout page, or order form. Eeive may change pricing or plan features prospectively. Unless required by law or stated in a written agreement, changes apply at the next renewal period or when you upgrade, downgrade, or change your plan.
You are responsible for all taxes, duties, levies, and governmental charges associated with your purchase, except taxes based on Eeive's net income. BlockBee or another payment processor may calculate, collect, remit, or display taxes depending on your location and payment details. You must provide accurate billing information and keep it updated.
If a payment fails, Eeive may retry the charge, notify you, limit access, downgrade your plan, suspend paid features, disable projects, or terminate the account after a reasonable period. You remain responsible for unpaid amounts.
12. Refund Policy and Cancellation
Unless required by applicable law, paid subscriptions, usage-based charges, overage charges, setup fees, and other fees are non-refundable. Eeive may, in its sole discretion, provide a refund, credit, or exception, but doing so once does not require Eeive to do so again.
You may cancel a subscription through the dashboard or the billing flow if cancellation is available there. Cancellation stops future renewals but does not automatically refund fees already paid. If you cancel during a billing period, you may retain access until the end of that billing period unless your account is terminated or suspended for violation of these Terms.
Downgrading or canceling may cause loss of access to features, projects, logs, analytics, retained metadata, advanced caching, provider connections, support levels, or other plan benefits. You are responsible for exporting information you need before downgrading, canceling, or deleting your account.
13. Third-Party Services and AI Providers
Eniway may integrate with or depend on Third-Party AI Providers, hosting providers, payment processors, email providers, analytics providers, monitoring tools, security vendors, domain providers, and other third-party services. These third parties are not controlled by Eeive, and their services may be subject to their own terms, privacy policies, security practices, fees, restrictions, and availability.
When you connect a Third-Party AI Provider through Eniway, requests may be transmitted to that provider using your Provider Key or configuration. You are responsible for reviewing and complying with the provider's terms, privacy policies, data usage settings, retention policies, safety policies, and billing rules. Eeive is not responsible for provider downtime, provider errors, provider pricing, provider output quality, provider data retention, provider policy enforcement, or provider account actions.
Eeive may add or remove provider integrations. A provider integration may become unavailable if a provider changes its API, pricing, authentication, terms, technical requirements, safety rules, or availability. Eeive is not required to maintain support for any specific provider or model unless a written agreement says otherwise.
14. Customer Content and AI Outputs
As between you and Eeive, you retain ownership of Customer Content you submit to Eniway. Subject to these Terms, you grant Eeive a limited, worldwide, non-exclusive, royalty-free license to process, transmit, cache, store, display, and use Customer Content only as necessary to provide, secure, support, improve, and operate the Service; comply with law; prevent abuse; and enforce these Terms.
AI Outputs are generated by models and providers based on Customer Content and provider systems. Subject to provider terms and applicable law, you may use AI Outputs for your business purposes. Eeive does not claim ownership of AI Outputs solely because they passed through Eniway. However, AI Outputs may not be unique, may be similar to outputs generated for others, may contain errors, and may be subject to restrictions imposed by providers or law.
You are responsible for reviewing, validating, filtering, moderating, and deciding whether to use AI Outputs. You are responsible for implementing user notices, consent flows, moderation, safety filters, human review, and compliance processes for your own products and end users.
15. Intellectual Property
Eeive and its licensors own all rights, title, and interest in and to Eniway, including the software, gateway architecture, dashboards, APIs, documentation, code, designs, logos, trademarks, service marks, product names, domain names, visual identity, user interface, infrastructure concepts, compilations, analytics layouts, and all related intellectual property rights.
Subject to your compliance with these Terms and payment of applicable fees, Eeive grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Service for your internal business or development purposes during the subscription period. No rights are granted except as expressly stated in these Terms.
You may not copy, modify, adapt, translate, distribute, sell, lease, sublicense, publish, host, reproduce, create derivative works of, or commercially exploit any part of Eniway except as expressly permitted by Eeive in writing or by applicable law.
16. Feedback
If you provide feedback, suggestions, ideas, bug reports, feature requests, design proposals, product improvements, or other recommendations about Eniway, you grant Eeive a perpetual, irrevocable, worldwide, royalty-free, sublicensable, transferable license to use, copy, modify, distribute, implement, commercialize, and otherwise exploit that feedback without restriction or compensation to you.
Eeive is not required to treat feedback as confidential unless a separate written agreement says otherwise. You should not submit confidential information as feedback unless Eeive has agreed in writing to receive it under confidentiality obligations.
17. Confidentiality
In connection with the Service, either party may disclose non-public information that should reasonably be understood to be confidential. Confidential information may include product roadmaps, security information, pricing, credentials, unreleased features, technical architecture, business plans, and non-public account information.
The receiving party will use reasonable care to protect confidential information and will use it only for purposes related to the Service. Confidentiality obligations do not apply to information that is publicly available without breach, already known without restriction, independently developed without use of confidential information, or lawfully received from a third party without confidentiality obligations.
A party may disclose confidential information if required by law, subpoena, court order, or government request, provided it gives notice where legally permitted and uses reasonable efforts to limit disclosure.
18. Security Responsibilities
Eeive uses commercially reasonable measures designed to protect Eniway, such as HTTPS/TLS, password hashing, encrypted storage for sensitive secrets where appropriate, access controls, logging, monitoring, backup practices, and operational security procedures. These measures may change as the Service evolves.
You are responsible for securing your own systems, endpoints, applications, users, environments, repositories, CI/CD pipelines, servers, cloud accounts, provider accounts, and network connections. You are responsible for using secure coding practices, keeping dependencies updated, validating end-user inputs, protecting secrets, implementing least privilege, and monitoring for abuse.
You must not conduct penetration testing, vulnerability scanning, load testing, scraping, stress testing, or security research against Eniway without prior written permission from Eeive. If you discover a vulnerability, you must report it responsibly and must not exploit it, access data that is not yours, disrupt the Service, or publicly disclose it before Eeive has had a reasonable opportunity to investigate and remediate.
19. Availability, Maintenance, and Changes
Eeive aims to provide a reliable infrastructure service, but Eniway may be unavailable, degraded, delayed, rate-limited, or interrupted because of maintenance, updates, emergency fixes, provider outages, cloud outages, network issues, cyberattacks, abuse controls, capacity constraints, legal requirements, or other events.
Unless a separate written SLA is signed by Eeive, Eeive does not guarantee uptime, uninterrupted operation, latency, throughput, provider availability, model availability, analytics accuracy, cost estimate accuracy, cache hit rates, or error-free operation.
Eeive may modify the Service to improve security, performance, reliability, compliance, product quality, or business operations. Changes may include API changes, dashboard changes, provider integration changes, database changes, logging changes, feature removals, plan changes, and documentation changes. Eeive will try to avoid unnecessary breaking changes, but you are responsible for monitoring release notes, documentation, and your own integrations.
20. Beta, Preview, and Experimental Features
Eeive may offer beta, alpha, preview, experimental, early access, or test features. These features may be unstable, incomplete, inaccurate, insecure, unsupported, rate-limited, changed, or removed at any time. You should not use beta features for critical production workloads unless you accept the risks.
Beta features are provided for evaluation and feedback. Eeive may collect additional telemetry, usage information, and error data to improve beta features, subject to the Privacy Policy. Eeive may restrict access to beta features at any time.
21. Suspension and Termination
Eeive may suspend, restrict, throttle, disable, or terminate your access to Eniway if we reasonably believe that you have violated these Terms, created security risk, caused operational harm, failed to pay fees, violated provider policies, created legal exposure, used the Service abusively, or used the Service in a way that may harm Eeive, providers, other customers, or the public.
Eeive may also suspend or terminate access if required by law, court order, government request, sanctions obligation, provider requirement, payment processor requirement, or emergency security need. In urgent cases, suspension may occur without prior notice.
You may stop using Eniway at any time. You remain responsible for fees incurred before cancellation or termination. Upon termination, your license to use the Service ends, and you must stop using Eniway API Keys and related credentials. Eeive may delete or retain data in accordance with the Privacy Policy, legal obligations, backups, security needs, and operational requirements.
22. Export Controls and Sanctions
You must comply with all applicable export control, sanctions, anti-corruption, and trade compliance laws. You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or region subject to sanctions that prohibit Eeive from providing the Service, and that you are not listed on any restricted party list.
You must not use Eniway to develop, support, or facilitate activities involving weapons, military end uses, surveillance abuses, prohibited cyber operations, sanctions evasion, or other restricted activities where prohibited by applicable law.
23. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EEIVE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AVAILABILITY, SECURITY, RELIABILITY, ACCURACY, AND ERROR-FREE OPERATION.
EEIVE DOES NOT WARRANT THAT ENIWAY WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, COMPATIBLE WITH YOUR SYSTEMS, FREE FROM VULNERABILITIES, OR THAT AI OUTPUTS WILL BE ACCURATE, COMPLETE, SAFE, LAWFUL, NON-INFRINGING, OR SUITABLE FOR YOUR USE CASE.
EEIVE DOES NOT CONTROL THIRD-PARTY AI PROVIDERS AND DOES NOT GUARANTEE THEIR AVAILABILITY, MODEL QUALITY, PRICING, POLICIES, DATA PRACTICES, OUTPUTS, OR CONTINUED SUPPORT.
24. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EEIVE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, CUSTOMER RELATIONSHIPS, USE, SECURITY, REPUTATION, OR ANTICIPATED SAVINGS, EVEN IF EEIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EEIVE'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO EEIVE FOR THE SERVICE DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY; OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
The limitations in this section apply to all theories of liability, including contract, tort, negligence, strict liability, warranty, statute, and any other legal theory. Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you. In such cases, liability is limited to the maximum extent permitted by law.
25. Indemnification
You will defend, indemnify, and hold harmless Eeive, its affiliates, directors, officers, employees, contractors, agents, licensors, and service providers from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to: your use of Eniway; your Customer Content; your AI workflows; your products or services; your violation of these Terms; your violation of law; your violation of provider terms; your infringement or misappropriation of third-party rights; your security failures; or your users' actions.
Eeive may assume exclusive control of the defense of any matter subject to indemnification, in which case you will cooperate with Eeive. You may not settle any claim in a way that imposes obligations or liability on Eeive without Eeive's prior written consent.
26. Force Majeure
Eeive will not be liable for any delay, failure, interruption, or degradation caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, internet failures, cloud provider failures, AI provider failures, payment processor failures, power outages, cyberattacks, DDoS attacks, government actions, sanctions, epidemics, supply chain disruptions, or failures of third-party systems.
27. Governing Law and Disputes
These Terms will be governed by the laws of the jurisdiction where Eeive is legally registered, without regard to conflict of law principles, unless a different governing law is required by applicable consumer protection law or stated in a separate written agreement.
Any dispute arising out of or relating to these Terms or the Service will be resolved in the competent courts located in the jurisdiction where Eeive is legally registered, unless applicable law requires a different venue or the parties agree in writing to arbitration or another dispute resolution process.
Because Eeive's final legal jurisdiction may depend on company registration, tax structure, payment processor setup, and business operations, this section should be reviewed and finalized by counsel before commercial launch.
28. Changes to These Terms
Eeive may update these Terms from time to time. When we make material changes, we may provide notice through the website, dashboard, email, changelog, or other reasonable means. The updated Terms will be effective when posted unless a later effective date is stated.
Your continued use of Eniway after updated Terms become effective means you accept the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription if applicable.
